Terms of Service

These terms cover the Nyquest hosted platform at app.nyquest.ai, the Nyquest API, and this website. By creating an account or using the service, you agree to them.

1. What Nyquest is

Nyquest is a hosted AI workspace. You send prompts; Nyquest routes them to a large language model — chosen automatically or pinned by you — and returns the response. It also provides image, audio, music and video generation, file upload and analysis, multi-step agents, a memory layer that carries context between conversations, prompt compression and optimization, and an API compatible with common OpenAI-style clients.

Nyquest is operated by Nyquest AI ("we", "us", "our").

2. Accounts

Some features are available without an account. To fund a wallet, use the API, or keep conversation history, you need one.

You must be old enough to enter into a binding contract where you live. You are responsible for the activity under your account and for keeping your credentials and API keys secure. Tell us promptly at [email protected] if you believe an account or key has been compromised.

You may delete your account at any time from Settings. Deleting it removes your conversations, memory and stored files from the live service.

3. Plans, wallet and payment

There is no subscription and no monthly fee.

  • Free. Bring your own provider keys (BYOK) at no charge to you from us, plus whichever models are available at no cost in the catalog at the time. Which models those are changes as providers change their offerings, and we do not guarantee any particular model stays free.
  • Pro. Activates automatically the first time you fund your wallet. It unlocks the full model catalog, higher rate limits, larger file uploads and operator support. It is a one-time switch, not a recurring charge.

Usage is pay-as-you-go and drawn from your wallet balance as you use the service. Current rates are published on the pricing page, and they are the provider’s own rates — Nyquest adds no markup to them. BYOK usage is not billed by us at all: those requests are billed to you by your provider directly.

Payments are processed by Stripe. We do not receive or store your full card details. Wallet balance is credit for use on the service: it is not transferable, not a deposit, and earns no interest. If you believe you were charged in error, contact us — we can and do issue refunds to the wallet or the original payment method where a charge was wrong.

Prices and rates can change. Changes apply to usage after they take effect, never retroactively to balance you have already spent.

4. Your content and data

Your prompts, conversations, uploaded files and generated outputs are yours. To make the service work we store your conversations, memory, artifacts and billing records — the privacy policy describes exactly what is kept and why, and it is the controlling document on data handling.

In summary, and consistent with that policy: access to your content is restricted to a small number of authorized personnel and only for support you have asked for, safety and abuse investigation, or a legal obligation; every such access is recorded in an internal audit log. We do not sell your content, and we do not use it to train third-party models.

You are responsible for having the right to submit what you upload, and for how you use what comes back.

5. Bring your own key

You may supply your own provider API keys. Keys you store with us are encrypted and used only to forward your requests to that provider. Requests made with your own key go to that provider under your agreement with them, and their terms, pricing and data policies apply to those requests, not ours.

You remain responsible for your provider keys and for any charges your provider bills you.

6. Model output

Responses are generated by machine learning models, including third-party models we route to on your behalf. Output can be wrong, incomplete, biased or fabricated, including when it sounds confident and cites sources. Verify anything that matters before relying on it.

Nyquest is not a substitute for professional advice — medical, legal, financial or otherwise. Do not use it to make decisions that require a qualified professional without one.

Where a request is routed to a third-party provider, that provider's acceptable-use policies apply to it in addition to ours.

7. Acceptable use

You agree not to use Nyquest to:

  • break the law, or produce or distribute content that is illegal where you or your users are
  • generate sexual content involving minors, or content that sexualises a real person without consent
  • harass, threaten, defame or impersonate a person or organisation
  • generate malware, or material intended to compromise systems or accounts
  • circumvent the terms, rate limits or safety systems of any provider we route to
  • probe, scan or attack the security of the platform, or attempt to access another user's account or data
  • resell raw API access as a competing inference service, or present Nyquest's service as your own product without agreement from us
  • use automated means to evade rate limits, quotas or billing

We may suspend or restrict access to protect the platform, our providers, or other users. Where circumstances allow, we will tell you why.

8. The engine, and the hosted platform

The Nyquest compression engine was released as open source under the MIT License at version 3.2.8 and is available on GitHub. Your use of that code is governed by its license, not by these terms, and nothing here restricts the rights that license grants you.

The hosted platform — the web application, the API service, routing, and the interfaces and content on our sites — remains ours. These terms grant you the right to use the service, not ownership of it. Do not copy the hosted platform's interfaces or content, or attempt to extract non-public components of the service, beyond what the open-source license or applicable law permits.

9. Availability and changes to the service

We aim to keep Nyquest running and will not pretend to guarantee it. The service depends on upstream model providers, and those providers change, deprecate and rate-limit their models on their own schedule. Models can appear in and disappear from the catalog for that reason. We may add, change or remove features.

Scheduled and unscheduled interruptions happen. We do not offer a formal uptime commitment.

10. Disclaimer of warranties

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any output will be accurate or suitable for your purpose.

11. Limitation of liability

To the maximum extent permitted by law, Nyquest AI and its founders, employees, contributors and affiliates are not liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, business or goodwill, arising from your use of or inability to use the service.

Our total liability for any claim relating to the service will not exceed the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.

Some jurisdictions do not allow certain exclusions or limitations; where that is the case, the exclusions above apply only to the extent permitted, and nothing in these terms limits liability that cannot lawfully be limited.

12. Termination

You may stop using the service and delete your account at any time.

We may suspend or terminate access for a breach of these terms, for conduct that puts the platform, our providers or other users at risk, or where required by law. If we terminate your account without cause, we will refund any unspent wallet balance.

Sections that by their nature should survive termination do so — including intellectual property, disclaimers, limitation of liability and governing law.

13. Governing law

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Disputes arising from these terms will be resolved in the state or federal courts of Palm Beach County, Florida, and you and we consent to that jurisdiction.

14. Changes to these terms

We may update these terms. Material changes will be announced on the website, and the version number and effective date at the top of this page always identify the current version. Continuing to use the service after a change takes effect means you accept the revised terms. If you do not, stop using the service and request any unspent balance back.
